While War of the Worlds obviously will end with humans living another day and the aliens not taking over earth, in Star Wars we will have to see all of the following:

Natalie Portman die
Samuel L. Jackson die
Yoda and Obi-Wan be banished
Hayden Christensen get burnt to a crisp while screaming in pain
The hero of the prequels turn into a monster

And then it will end. Now while this won't affect either movies opening, the fact remains that if your movie ends on such a sad mournful note you're not going to get a lot of people coming back. General audiences will probably only see it once, families and kids (the primary source of business for the series) might not even make it through viewing one and definitely won't return, not to mention warn other parents not to take there kids to this scary and violent of a movie. And I also think a lot of people feel too burnt out by the previous two to give the final Star Wars a chance. Fool me once, shame on you. Fool me twice, shame on me. It can be as great a movie as it wants, but if its this damn depressing people won't be running back to see it again. The fact that it's getting Madagascar and The Longest Yard on it's second weekend means that all of the families and all the teenage and adult guys will have new #1 priorities, so while i do think it'll be a collosal hit and make over 250 million, I would not be the least bit surprised if it came in as only the third biggest movie of the summer behind War of the Worlds and Madagascar.

WOTW will do 150 Mio+. Cmon this is going to be a weak Box Office Year if even such a movie can not do that.
